Focus on various transactional matters and legal negotiation and documentation (including with respect to joint ventures, concessions, investments, acquisitions and other strategic matters), along with participation in general corporate matters, including corporate finance transactions and subsidiary governance and administration.

• Assist with document preparation as required in connection with primarily domestic and some international business transactions
• Prepare drafts of a wide variety of transactional documents, including confidentiality agreements, letters of intent, guarantees, consulting agreements and master services agreements.
• Prepare joint venture and other strategic transaction documents, including memoranda of understanding, shareholders and limited liability company operating agreements, teaming/joint development agreements and relevant charter documents
• Prepare internal corporate governance and reorganization agreements, including secondment, intracompany service and other related agreements
• Collaborate closely with relevant business units and other functional support departments, such as Risk Management, Treasury, Tax, Accounting and Human Resources in connection with business transactions
• Support transactional due diligence, including any corporate level or document review
• Performing other related duties as assigned

• J.D. with an excellent academic record.
• Four to six years of experience in a top law firm.
• M&A experience required
• Must be team oriented and have the ability to think creatively in resolving business and legal issues.
• Hardworking, service oriented, and self-starter with excellent communication skills.
