Overview

The Subsidiary Administration Manager reports to another more senior level individual in the Legal Department.  With guidance from the reporting relationship, manages all domestic and international entity activities for Quanta Services and its subsidiaries.

Responsibilities

  • Administration for approximately 175 domestic and Canadian subsidiaries.
  • Maintains corporate records and minute books (hard copy and electronic), including organizational documents, state filings, resolutions and stock certificates.
  • Maintains online entity management system, including uploading documents and updating entity management database to reflect historical changes resulting from mergers, acquisitions, divestitures and personnel changes.
  • Prepares written consents, resolutions, certifications, minutes and other corporate documentation.
  • Manages annual elections of directors and officers.
  • Maintains subsidiary lists, tracking historical data and up-to-date information.
  • Prepares and files organization documents for formation of new entities, including corporations, limited liability companies and partnerships.
  • Facilitates intercompany mergers and dissolutions, including document preparation and state filings, with coordination among Legal, Treasury, Tax and Accounting.
  • Prepares and organizes corporate documents (such as articles of incorporation, good standing certificates, certified resolutions, incumbency certificates, etc.) for banking, acquisition, and other corporate transactions.
  • Prepares and files state qualifications, withdrawals, mergers, name reservations and assumed name certificates.
  • Serves as record keeper and source of information for company subsidiaries and divisions.
  • Serves as a primary contact person for operating companies needing corporate assistance.
  • Works directly with the operating units to facilitate licenses and permits.
  • Works on budget preparation and electronic billing.
  • Adheres to internal standards, policies and procedures.
  • Travel Up to 5% of time
  • Performs other duties as assigned.

Qualifications

  • High school diploma or equivalent requiired 
  • Minimum 5 years of practical experience in a corporate or business environment; at least 3 years of experience in a law firm or legal department required
  • Bachelor’s Degree and minimum 3 years of corporate paralegal experience in a corporate legal department or law firm prefferred 
  • Completion of Paralegal course at an accredited school and/or Paralegal certificate preferred

  • Outstanding written and verbal communication skills.
  • Must be responsive and accessible to internal clients, have the ability to multi-task, and be flexible.
  • Unquestioned ethics and integrity.
  • Demonstrated ability to work effectively as a member of a team, including interfacing effectively with other members of the legal department, other departments, and senior management.
